The disclaimers below supplement, and should be read together with, the Terms of Use, Privacy Policy, and Accessibility pages, and any route-specific notices made available through the site.
Information on the site is current as of the date posted and may be updated, supplemented, corrected, or superseded at any time without notice. The Company may revise these disclaimers from time to time in its sole discretion. All changes are effective immediately when posted, and continued use of the site following the posting of revised disclaimers means that you accept and agree to the changes.
No Offer to Sell Securities
Except where expressly stated on the Investors pages, the site does not constitute an offer to sell, or a solicitation of an offer to buy, any securities of the Company or any member of the Cygnet Group in any jurisdiction in which such offer or solicitation would be unlawful, and is provided for informational purposes only.
Any offering of securities by a member of the Cygnet Group will be made only by means of definitive offering materials, including a confidential private placement memorandum, subscription agreement, and the applicable limited liability company or limited partnership agreement, in each case delivered through the gated investor process described below.
Rule 506(c) Offering; General Solicitation
The Company’s current offering of securities is being conducted pursuant to Rule 506(c) of Regulation D under the Securities Act of 1933, as amended (the “Securities Act”). Rule 506(c) permits general solicitation and general advertising in connection with the offering, and accordingly the site, including social-media posts, press releases, and other publicly available materials referencing the offering, may constitute general-solicitation material.
The securities offered are exempt from registration under Section 4(a)(2) of the Securities Act and Rule 506(c) of Regulation D. The Company has filed, or will file, a Form D notice with the U.S. Securities and Exchange Commission within 15 days after the first sale of securities in the offering, and the Company will make notice filings in each state where required and within the applicable deadlines.

Accredited Investor Limitation
Only “accredited investors,” as defined in Rule 501(a) of Regulation D under the Securities Act, who satisfy any additional eligibility criteria established by the Company, may request access to investor materials. Because the offering is being conducted in reliance on Rule 506(c), the Company will take reasonable steps to verify each prospective investor’s accredited-investor status as required by Rule 506(c)(2)(ii), which may include the review of tax forms, brokerage and bank statements with a current consumer credit report, written confirmations from a registered broker-dealer, an SEC-registered investment adviser, a licensed attorney, or a certified public accountant, or such other documentation as the Company may require.
Self-certification of accredited-investor status is not, by itself, sufficient to permit access to Offering Materials, as defined below, or acceptance of any subscription. No sale will occur unless the investor is verified as accredited and accepted by the Company.
Misrepresentations as to accredited-investor status may give rise to civil and criminal liability under the federal and state securities laws, including the anti-fraud provisions of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and may result in the rescission of any investment and termination of access to the site.

Investor Verification; Regulatory Compliance
Prospective investors in any offering by a member of the Cygnet Group will be required to make representations regarding their identity, source of funds, sanctions status, and beneficial ownership for compliance with the Bank Secrecy Act and the USA PATRIOT Act, the Anti-Money Laundering Act of 2020, the economic-sanctions programs administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control, the Corporate Transparency Act and the implementing regulations of the Financial Crimes Enforcement Network, and similar laws. Bad Actor Disqualification
In connection with each offering conducted in reliance on Rule 506, the Company obtains the representations required under Rule 506(d) under the Securities Act from its “covered persons” within the meaning of Rule 506(d)(1) to confirm that none of the Company or its covered persons is subject to a disqualifying event that would make the Rule 506 exemption unavailable. The Company refreshes these representations from time to time as required to maintain the exemption.
